For non-exclusive vocals

By uploading vocal recordings and compositions (referred to as “Vocals”) to Voxalized, the artist (referred to as “Artist”) agrees to these Terms and Conditions, effective as of the date of upload.

1. Distribution, Exclusivity, and Term. The exclusivity period for digital distribution of the Artist’s vocal commences on the first day of the upcoming month following the effective date and continues for a minimum of 3 months. If the Artist does not request deletion at least seven (7) days before the end of this three-month period, the agreement will automatically extend indefinitely until such time as the Artist requests deletion.
   
   

2. Copyright Ownership. Company affirms that it possesses all the necessary rights, including sound recording, composition, and synchronization rights, required to offer vocal for sale to our valued customers during the specified availability period. These rights encompass the distribution, reproduction, and public performance rights essential for facilitating the purchase and utilization of the vocal by our customers. We want to reassure our customers that their vocal rights, as delineated in their respective licensing agreements at the time of purchase, remain unaffected even if the vocal is subsequently removed from our platform. Once a customer has acquired the vocal and secured the associated rights, those rights endure, ensuring the ongoing enjoyment of the content as permitted by the terms of their licensing agreement.
   
   

3. Payment and commission. In accordance with this Agreement, the Company operates a revenue-sharing mechanism whereby the Artist is entitled to commissions of up to 70% based on the revenue generated from the sale and distribution of their vocal recordings through the platform. The commission structure includes the following tiers:
   
   

Tier 1: 0 – 100 Sales = 50% Commission
Tier 2: 100 – 200 Sales = 55% Commission
Tier 3: 200 – 300 Sales = 60% Commission
Tier 4: 300 – 400 Sales = 65% Commission
Tier 5: 400+ Sales = 70% Commission

This compensation structure is facilitated through a dynamic commission model designed to provide artists with the opportunity to earn passive income with the aim of establishing long-lasting relationships with the artists. To account for transaction expenses, a 1,50€ transaction fee will be included with each payment. Payments to artists are made on a monthly basis and are conveniently processed through PayPal.

4. Discount and pricing. Artists have the autonomy to set their own pricing for non-exclusive vocals offered on Voxalized, reflecting their valuation of their work. It’s important to note, however, that the set price on Voxalized must not exceed the price set on any other platform. Voxalized retains the discretion to apply discounts or promotional offers to these prices, not exceeding 30% off the original artist-set price. These discounts are implemented in good faith to enhance sales and promote the artists’ work, considering various factors such as market conditions and promotional strategies. Voxalized’s decision to apply discounts is aimed at striking a balance between artist autonomy in pricing and effective market positioning of their offerings. Should an artist violate these pricing rules, it may result in all revenue being withheld by Voxalized. These measures are in place to ensure pricing fairness and consistency across platforms.
   
   

5. Disputes. If any dispute arises during or after the term of this Agreement between Artist and Company parties shall hold negotiations amongst themselves before pursuing litigation.
   
   

6. Indemnification. Artist will indemnify, protect, defend, and hold Company harmless from and against, any and all loss, cost, damage and expenses arising from, or in any way related to, any third party claims against Artist. Company will indemnify, protect, defend, and hold Artist harmless from and against, any and all loss, cost, damage and expenses arising from, or in any way related to, any third party claims against Company.
   
   

7. Termination, deletion and notice. Either party may terminate this Agreement for any reason or no reason by providing written notice to the other party at least seven (7) days before the end of the initial three-month period. Upon termination, all rights and licenses granted herein shall cease, except as otherwise provided in this Agreement. In the event that the Artist wishes to have the vocal deleted after the initial three-month period, they may do so by providing written notice to the Company, and the Company shall take the necessary steps to remove the vocal from the platform and other promotional channels. The exclusivity agreement will remain in effect for an additional 1 month after the deletion request, encompassing the entirety of the following month, to allow for the completion of the deletion process.
   
   

8. Governing Law. This Agreement shall be bound to the laws of Germany.
   
   

9. Acknowledgment. By uploading Vocals to Voxalized, the Artist acknowledges and agrees to these Terms and Conditions.
   
   

For Exclusive Vocals

These terms and conditions apply to the upload of exclusive vocal recordings and compositions (“Vocals”) to Voxalized by the artist (“Artist”). Except where noted below, all other terms and conditions as specified in the non-exclusive vocal agreement remain in effect.

Payment and Commission. The commission structure for exclusive vocals is as follows:

Tier 1: 0€- 499€ = 70% Commission
Tier 2: 500€ – 1.000€ = 75% Commission
Tier 2: above 1.000€ = 80% Commission

For PRO Vocals

These terms and conditions apply to the upload of PRO vocals (referred to as “Pro Vocals”) to Voxalized by the artist (referred to as “Artist”). Except where noted below, all other terms and conditions as specified in the non-exclusive vocal agreement remain in effect.

1. Submission Choice. During the process of submitting vocals via the Voxalized platform, Artists have the choice to designate their vocals as “Pro Vocals.” This selection indicates the Artist’s decision to offer their vocals exclusively through Voxalized under the Pro Vocal terms.
   
   
2. Exclusivity. Pro Vocals uploaded to Voxalized are to be sold exclusively on our platform. The Artist agrees not to list or sell these vocals on any other website or platform.
   
   
3. Commission. Artists uploading Pro Vocals will instantly receive our highest commission tier for sales made through Voxalized.
   
   
4. Enhanced Marketing Support. Pro Vocals benefit from Voxalized’s comprehensive marketing efforts, including paid promotions and utilization of all marketing channels.
   
   
5. Stems provided. Required stems/files for Pro Vocals include:
   
   – Lead Vocals (Dry and Wet versions)
   – Premixed vocal (Wet version)
   – Harmonies
   – Doubles
   – Backings
   – MIDI files
   – Lyrics files
   
   
6. Opt In. By opting to upload Pro Vocals to Voxalized and choosing this category in the submission form, the Artist acknowledges and agrees to these exclusive terms, along with the additional benefits provided.
   
   
7. Breach of Exclusivity. In the event an Artist is found to be selling Pro Vocals on other websites or platforms, violating the exclusivity agreement, all earnings from those sales will be withheld by Voxalized.
   This measure is to enforce the exclusivity clause and maintain the integrity of Pro Vocals on our platform.
